Terms of Service
Welcome to Thread Patrol! These Terms of Service ("Terms") govern your access to and use of the Thread Patrol Slack bot and any related services (collectively, the "Service") provided by us.
By installing, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, do not install or use the Service.
If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, "you" and "your" will refer to that Organization.
1. Description of Service
Thread Patrol is a Slack bot designed to enhance channel organization and readability within Slack workspaces. Its primary function is to monitor messages in designated channels and intelligently identify messages that, based on their content and context (using recency rules and AI-powered semantic analysis via Google Gemini), would be better suited as replies within existing discussion threads. The Service provides suggestions to users, who can then choose to move the message or dismiss the suggestion. The Service copies messages to new thread locations upon user approval; it does not automatically delete original user messages. Instead, after a successful move, it provides users with an interactive, one-click tool to clean up the public "Moved Here" notice, after which the user may delete their original message.
2. Slack Account and Workspace
To use Thread Patrol, you must have a valid Slack account and be authorized to install applications to your Slack workspace(s). You are responsible for all activities that occur under your Slack workspace in connection with the Service. You agree to maintain the security of your Slack account and to comply with Slack's own Terms of Service and policies.
3. Beta Service Terms
The Service is currently provided as a free, public beta for a limited time ("Beta Period"). By using the Service, you agree to the following terms regarding the beta:
- Free of Charge: The Service is provided to you free of charge for the duration of the Beta Period. We reserve the right to introduce subscription fees for the use of the Service after the Beta Period concludes.
- Beta Period Duration: The current Beta Period duration is subject to change. We reserve the right to extend, shorten, or modify the Beta Period at our discretion.
- "As Is" Basis: The Service during the Beta Period is provided "as is" and "as available". It may contain bugs, errors, or other issues, and its features may change.
- Feedback: As a beta user, you are encouraged to provide feedback on your experience to help us improve the Service.
4. Post-Beta Subscription Terms, Billing, and Payment
Thread Patrol is a paid service, billed on a subscription basis.
- Subscription Requirement: Access to and use of the core functionalities of Thread Patrol requires an active, paid subscription for the Slack workspace in which it is installed.
- Pricing: The current pricing for Thread Patrol is €2.00 per total workspace user per month, plus any applicable taxes. Pricing is subject to change, and we will provide notice of any changes as described in Section 12 (Changes to These Terms).
- Billing and Payment:
- All subscriptions, billing, and payment processing for Thread Patrol are managed through the Slack App Directory and Slack's designated payment processing partners (e.g., Stripe).
- By subscribing to the Service, you agree to Slack's payment terms and authorize Slack (or its payment processor) to charge your designated payment method on a recurring basis for the subscription fees.
- You are responsible for providing complete and accurate billing and contact information to Slack and for updating this information as necessary.
- No Trial Period: Currently, Thread Patrol does not offer a free trial period. Subscription fees are applicable from the commencement of your subscription.
- Subscription Period and Renewals: Your subscription will be for the period you select (e.g., monthly) and will automatically renew for successive periods of the same duration unless you cancel your subscription through the Slack platform prior to the end of the current subscription period.
- Non-Payment and Service Interruption: If your subscription becomes inactive due to non-payment, cancellation, or any other reason, Thread Patrol will cease its core functionalities (including monitoring messages, providing suggestions, and facilitating message moves) for your workspace until a valid, active subscription is reinstated. We reserve the right to suspend or terminate your access to the Service for non-payment.
- Refunds: Subscription fees are non-refundable except as may be expressly permitted by Slack's refund policies or as required by applicable law.
- Changes to Fees: We reserve the right to change our subscription fees. Any fee changes will take effect at the end of your then-current billing cycle, and we will provide you with reasonable prior notice through Slack or other means.
5. User Responsibilities and Acceptable Use
You agree to:
- Comply with all applicable laws and regulations in connection with your use of the Service.
- Comply with Slack's Terms of Service and Acceptable Use Policy.
- Be solely responsible for the content of messages processed by Thread Patrol within your workspace and ensure you have the necessary rights to allow Thread Patrol to access and process this content as described in our Privacy Policy.
- Not misuse the Service, including but not limited to: attempting to circumvent subscription limitations, interfering with its operation, attempting to access it using a method other than through the interface and instructions that we provide, or using it for any unlawful purpose.
- Invite and keep Thread Patrol only in channels where you have the authority to do so and where its operation is desired by the channel members or workspace administrators.
6. Intellectual Property Rights
- Our Service: We (Thread Patrol) own all right, title, and interest in and to the Service, including all related intellectual property rights (such as copyrights, trademarks, trade secrets, and patents). These Terms do not grant you any rights to our trademarks or brand elements.
- Your Data: You (or your Organization) retain all ownership rights to the content of your Slack messages and any data originating from your Slack workspace ("Your Data"). By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to access, use, process, copy, distribute, perform, export, and display Your Data solely to the extent necessary to provide, maintain, and improve the Service, and as otherwise described in our Privacy Policy. This includes processing message content ephemerally for AI analysis and storing necessary operational metadata.
7. Privacy
Your privacy is important to us. Our collection and use of information in connection with the Service is described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you agree to the terms of the Privacy Policy.
8. Third-Party Services
Thread Patrol relies on and interoperates with third-party services, including:
- Slack: The core platform for the Service. Your use of Slack is subject to Slack's own terms and policies.
- Google Cloud Platform (Vertex AI / Gemini): Used for AI-powered message analysis. Message content sent for analysis is subject to Google's terms and privacy practices for Vertex AI.
- Amazon Web Services (AWS): Used for hosting our application and storing operational data (OAuth tokens and message metadata). Data storage is subject to AWS's terms and privacy practices.
We are not responsible for the practices of these third-party services, and your use of them is at your own risk. We encourage you to review their respective terms and privacy policies.
9. Service Availability and Modifications
We will use reasonable efforts to make the Service available. However, the Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
We reserve the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time with or without notice, for any reason, including for maintenance, upgrades, or to address security concerns. We will endeavor to provide reasonable notice of any material suspension or discontinuation where feasible. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THREAD PATROL, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY MATERIALS OR CONTENT ON THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO US FOR ACCESS TO AND USE OF THE SERVICE IN THE 3 MONTHS PRIOR TO THE EVENT OR CIRCUMSTANCE GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless Thread Patrol and its officers, directors, employees, consultants, affiliates, subsidiaries, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with (a) your access to, use of, or alleged use of the Service; (b) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (c) your violation of any third-party right, including any intellectual property right or publicity, confidentiality, other property, or privacy right; or (d) any dispute or issue between you and any third party.
12. Termination
- By You: You may terminate your agreement to these Terms at any time by uninstalling the Thread Patrol application from all of your Slack workspaces. Uninstallation will stop further data collection for that workspace and initiate the data deletion process as described in our Privacy Policy. Please note that subscription fees are generally non-refundable as per Section 3.
- By Us: We may suspend or terminate your access to and use of the Service, at our sole discretion, at any time and without notice to you, including if you violate these Terms, or if your subscription is not active due to non-payment or cancellation.
- Effect of Termination: Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled in Valencia Spain by arbitration or in a court of competent jurisdiction.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will post the revised Terms on this website and update the "Effective Date" at the top. For material changes, we may provide additional notice, such as through the Service or via email to an administrative contact if available. Your continued use of the Service after such changes become effective constitutes your acceptance of the new Terms.
